CRACKDOWN and GYM CLASS HEROES SWEEPSTAKES OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN.  OPEN ONLY TO DIAMOND CARD MEMBERS AS OF SUNDAY, FEBRUARY 11, 2007.

By entering the Crackdown and Gym Class Heroes Sweepstakes ("Sweepstakes") you agree to abide by these Official Rules and any other terms and conditions referenced in these Official Rules.

1.     ELIGIBILITY:
Open only to Diamond Card Members as of Sunday, February 11, 2007, who are legal residents of the 50 United States and District of Columbia and 17 years of age or older at time of entry.  Employees of Microsoft Corporation and any person engaged to work on this promotional program and their respective affiliates, parent companies, advertising and promotional agencies and each of their immediate family members (including mother, father, sister, brother, child, husband or wife) and those living in their households are not eligible to enter or win.   

2.     PROMOTION PERIOD/PRIZE PERIODS:
This Promotion starts on Monday, February 12, 2007 at 12:01 a.m. Pacific Time (PT) and ends on Thursday, March 22, 2007, at 11:59 p.m. PT and consists of five (5) separate prize periods.  Please see Section 4 of these Official Rules for entry deadlines and prize descriptions for each prize period.

3.     HOW TO ENTER:
To receive one (1) entry into any prize period, send an e-mail to gchcrackdown@hotmail.com before the close of the entry deadline for the prize period you are entering with the following information:

• First and last name
• Xbox LIVE® Gamertag tied to your Diamond Card Membership

IMPORTANT: The subject line of you e-mail entry must be the prize period description for the prize period you are entering (e.g., If you are entering for a chance to win tickets to the Gym Class Heroes Concert in New York then you must submit your entry by February 16, 2007 at 11:59 p.m. PT and the subject line of your e-mail must be "PRIZE PERIOD 1, NEW YORK"). 

Limit one (1) entry per person, Xbox LIVE gamertag and email address per prize period.  Entries that do not meet the requirements listed above and/or subsequent entries received from the same individual, Xbox LIVE gamertag or email address in excess of the limits stated herein will be automatically disqualified.

The use of automated devices (or any other devices intended to automate any aspect of entry) to enter this Sweepstakes is prohibited.  No responsibility is assumed by Microsoft Corporation for lost, late, misdirected, or illegible entries or any computer, online telephone, or technical malfunctions that may occur. ALL ENTRIES BECOME THE PROPERTY OF MICROSOFT CORPORATION AND WILL NOT BE RETURNED.

4.     PRIZE PERIODS/WINNER SELECTION/ PRIZES:
On or around the drawing dates designated in the table below, fifteen (15) winners will be selected in a random drawing from among all eligible entries received during the corresponding prize period to win the designated prize.

*Approximate Retail Value of each Prize Period Prize (US$95.00).

All random drawings will be conducted under the supervision of Microsoft, whose decisions are final.  Odds of winning depend on the number of eligible entries received during each prize period.  Non-winning entries will not carry over to subsequent prize periods (if any). 

Prizes are not redeemable for cash.  Limit one (1) prize per person, Xbox LIVE Gamertag and e-mail address.  No substitution, transfer, or assignment of prize permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value in the event an offered prize is unavailable.  Winner is solely responsible for any expenses not explicitly listed herein, including but not limited to travel, lodging and applicable taxes.  If any of the Gym Class Heroes shows are canceled for any reason, Sponsor shall have no further obligation to winner, other than to provide the Crackdown video game.  Any and all guarantees and warranties for merchandise prizes are subject to the manufacturer's terms and conditions, and winners agree to look solely to such manufacturers for any such warranty or guarantee claim.

5.     GENERAL CONDITIONS:
Sweepstakes entrants agree to abide by the terms of these Official Rules and by the decisions of Microsoft Corporation which are final and binding on all matters pertaining to this Sweepstakes.  This Sweepstakes is governed by the laws of the United States. In the event of a dispute,the laws of the State of Washington govern the interpretation of these Official Rules.

Winners will be notified via email within 24 hours of the drawing date for each prize period.  Once notified, each winner has 24 hours to respond via email.  Return of any prize / prize notification as undeliverable or failure to accept prize within the specified time period may result in disqualification and selection of an alternate winner.  Entrants further grant to Microsoft the right to use and publish their proper name and state online and in print in any other media in connection with this Sweepstakes.  Acceptance of a prize constitutes permission for Microsoft to use winner's names and likenesses for advertising and promotional purposes without additional compensation unless prohibited by law.  By entering, participants release and hold harmless Microsoft, their respective parents, subsidiaries, affiliates, directors, officers, employees and agents from any and all liability or any injuries, loss or damage of any kind arising from or in connection with this Sweepstakes or any prize won.

6.      INTERNET:
If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Microsoft which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Microsoft reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify, or suspend this Sweepstakes.  In any such event, Microsoft, at its discretion, will select the winner(s) from eligible non-suspect entries received prior to the event requiring such termination, suspension or cancellation.  Microsoft assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries.  Microsoft is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by Microsoft on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes. 

CAUTION:  ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW. 

Entries made by Internet will be declared made by the authorized account holder of the email address submitted at time of entry.  "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

Information collected from entrants is subject to the Xbox.com Privacy Statement http://privacy.microsoft.com/en-us/default.aspx.

8.     WINNERS LIST:
For a list of winners, send a self-addressed stamped envelop to Microsoft Corporation, Attn: Crackdown / Gym Class Heroes Sweepstakes, MIL- A/223, One Microsoft Way, Redmond, WA  98052.  Requests received after May 1, 2007, will not be fulfilled.
