Common terms used in these rules:

These are the official rules that govern how the Xbox LIVE® Summer of Arcade  Prize Draw promotion will operate. This promotion will be simply referred to as the "Prize Draw" throughout the rest of these rules.

In these rules, "we," "our," and "us" refer to Microsoft Corporation the sponsor of the Prize Draw. "You," "yourself" refers to an eligible Prize Draw entrant.

1.   WHAT ARE THE START AND END DATES?

This Prize Draw starts at 12:01 A.M. Eastern Time (ET) on July 30, 2008, and ends at 11:59 P.M. ET on September 2, 2008 ("Entry Period").

The Entry Period consists of five (5) separate prize periods, one for each of the five Xbox LIVE Arcade games as listed below (the "Prize Periods"). Entries will be eligible for the Prize Period for which they are received, but will not be eligible for subsequent Prize Periods. At the end of the Entry Period, all non-winning entries from all Prize Periods will carry over into a grand prize drawing.  

2.   CAN I ENTER?

You are eligible to enter this Prize Draw if you meet the following requirements:

• You are a legal resident of the 50 United States or District of Columbia, Canada, France, Germany or the United Kingdom, and you are 17 years or older at the time of entry; and
• You are NOT an employee of Microsoft Corporation or an employee of a Microsoft subsidiary; and
• You are NOT involved in any part of the administration and execution of this Prize Draw; and
• You are NOT an immediate family (defined as parent, sibling, spouse, child regardless of where they live) or household member of a Microsoft employee, an employee of a Microsoft subsidiary, or a person involved in any part of the administration and execution of this Prize Draw.

This Prize Draw is void outside the geographic area identified above and wherever else prohibited by law. 

3.   HOW DO I ENTER?

There are two ways to enter: online or via mail.

You can enter online if you have access to an Xbox 360® video game and entertainment system, and you are an Xbox LIVE subscriber in good standing. Once you have verified that you meet these system requirements, you must register and earn entries for each Prize Period that is a part of this Prize Draw as follows:

Register for the Prize Period

For each Prize Period, you must register by doing one of the following:

• Register by downloading and playing the free trial version of the designated Xbox LIVE Arcade game;
  
  OR
• Register by downloading and playing the full game version of the designated Xbox LIVE Arcade game.

To download the free trial version or full game version of the designated Xbox LIVE Arcade game:

1. Sign in to Xbox LIVE and access the Xbox LIVE Marketplace,
2. Select "Game Store",
3. Select "Xbox LIVE Arcade ",
4. Select the designated Xbox LIVE Arcade game and "Confirm Download".

NOTE: You may also access the participating game trials and full game versions via the banner ads running on the Xbox LIVE dashboard.

You must register for each Prize Period using the same Xbox LIVE gamertag that you will use to play the designated Xbox LIVE Arcade game on the Xbox LIVE service. Please be sure that your Xbox LIVE membership information including e-mail address, mailing address and phone is correct and current.

Earn Entries

During each Prize Period, registered players will automatically receive one (1) entry when they log into the Xbox LIVE service and play the free trial version or full game version of the designated Xbox LIVE Arcade game.

For residents of France only: Telecommunication and access expenses corresponding to the time of connection on the Prize Draw have been evaluated at the flat fee of 0.50 euros per entry and shall be reimbursed to any on-line participant requesting it in writing at Xbox LIVE Summer of Arcade Sweepstakes Prize Draw, Microsoft Campus, Thames Valley Park, Reading, RG6 1WG, UK. The participants claiming reimbursement of the costs of connection must provide their telephone bill justifying that they do not benefit from unlimited access.

You can enter by mail by hand printing your first and last name, address, city, state / province, ZIP/postal code, country, phone number, e-mail address (if any) and the Prize Period that you are entering (i.e., 1,2,3,4 or 5) on a 3x5 piece of paper and mail it to:

Limit one (1) entry per outer mailing envelope. Mail-in entry(ies) must be received by the dates described in Section 1 above.

We will only accept one (1) entry per person per Prize Period, regardless of entry method. We are not responsible for entries that we do not receive for any reason, or for entries that we receive, but are not decipherable for any reason.

We will automatically disqualify:

1. Any incomplete or illegible entry; OR
2. Any entries that we receive from you that are in excess of the entry limit described above.

4.   WHAT ARE THE PRIZES?

Prize Period Drawing Prizes

Total ARV of all Prizes: $1974.96 USD , EUR € 1245.96, GBP £ 986.24

If for any reason the advertised prize is unavailable, we reserve the right to substitute a prize of equal or greater value. We will only award one (1) Prize Period Drawing prize and one (1) Grand Prize Drawing prize per person.

If you are selected as a potential winner:

1. You may not exchange your prize for cash or any other merchandise or services.
2. You may not designate someone else as the winner. If you are unable or unwilling to accept your prize, we will award it to an alternate potential winner via the same random prize draw method outlined in section 5 below.
3. If you accept a prize, you will be responsible for all applicable taxes related to accepting the prize, if any.
4. And are a minor (being under the age of majority) we may award, at our sole discretion, your prize to your parent/legal guardian on your behalf.

5.     HOW ARE WINNERS SELECTED AND NOTIFIED?

On September 17, 2008, at 12:00 P.M. ET in New York, NY, we, or a company acting under our authorization, in the presence of an independent adjudicator, will conduct five (5) separate drawings; one for each Prize Period. In each Prize Period drawing, we will select one (1) weekly prizewinner in a random drawing from all eligible entries received. Non-winning entries from one Prize Period drawing will not carry over to any remaining Prize Period drawings.

After the five Prize Period drawings, we will conduct a grand prize drawing. In the grand prize drawing, we will select one (1) grand prize winner and two (2) second prize package winners in a random drawing from among all eligible entries received during the Entry Period.

If you are a potential winner, we will notify you by sending a message to the e-mail address, the phone number, or mailing address (if any) provided at time of entry within seven (7) days following the random drawing. If our notification is returned as undeliverable, or we are unable to reach you for any reason, we may randomly select an alternate winner.

If there is a dispute as to who is the potential winner, we will consider the potential winner to be the authorized account holder of the e-mail address used to enter the Prize Draw.

If you are a potential winner, we may require you to sign a declaration of eligibility and liability/publicity release. If you are a potential winner and if you are a minor in your state/province of residence we may require that your parent / legal guardian sign a declaration of eligibility and liability/publicity release. If you, (or your parent/legal guardian if applicable), do not sign and return these required forms within the time period listed on the winner notification message, we may disqualify you (or the designated parent/legal guardian) and randomly select an alternate winner.  

For Canadian Residents Only: If you are a potential winner you will be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question to be administered by either telephone or e-mail. If you answer the skill-testing question incorrectly, as determined by us in our sole discretion, you will be disqualified and, at our discretion, an alternate winner shall be chosen from among all remaining eligible entries.

6.   WHAT ARE YOUR ODDS OF WINNING?

Your odds of winning this Prize Draw depend on the number of eligible entries we receive.

7.   WHAT OTHER CONDITIONS AM I AGREEING TO BY ENTERING THIS PRIZE DRAW?

By entering this Prize Draw you agree:

1. To abide by these Official Rules;
2. To the extent allowable under applicable law, to release and hold harmless Microsoft and its respective advertising and promotional agencies and Prize Draw judging organization, the parent companies, subsidiaries, affiliates, employees, representatives, successors, assigns and agents from any and all liability or any injury, loss or damage of any kind arising from or in connection with this Prize Draw or any prize won save for residents of the United Kingdom, France and Germay with respect to claims resulting from death or personal injury arising from Microsoft's negligence and for residents of the United Kingdom with respect to claims resulting from the tort of deceit or any other liabilities that may not be excluded by law;
3. That Microsoft's decisions will be final and binding on all matters related to this Prize Draw; and
4. That by accepting a prize, Microsoft may use your name and place of residence online and in print, or in any other media, in connection with this Prize Draw, without payment or compensation to you. The declaration of eligibility, use, indemnity and liability/publicity release provided to the potential winner (pursuant to clause 5 above) will make reference to obtaining your free consent to use your name and place of residence. In any case, the lack of such consent does not prevent the winner from receiving the prize.

8.   WHAT LAWS GOVERN THE WAY THIS PRIZE DRAW IS EXECUTED AND ADMINISTRATED?

This Prize Draw will be governed by the laws of the State of Washington, USA, and you consent to the exclusive jurisdiction and venue of the courts of the State of Washington for any disputes arising out of this Prize Draw.

For residents of the United Kingdom only:The provisions of the Contracts (Rights of Third Parties) Act 1999 shall not apply to this agreement.

For residents of Quebec only:Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

9.   WHAT IF SOMETHING UNEXPECTED HAPPENS AND THE PRIZE DRAW CAN'T RUN AS PLANNED?

If cheating, a virus, bug, catastrophic event, or any other unforeseen or unexpected event that cannot be reasonably anticipated or controlled, (also referred to as force majeure) affects the fairness and /or integrity of this Prize Draw, we reserve the right to cancel, change or suspend this Prize Draw, subject to obtaining the approval from the Régie des alcools, des courses et des jeux with respect to the province of Quebec. This right is reserved whether the event is due to human or technical error. If a solution cannot be found to restore the integrity of the Prize Draw, we reserve the right to select winners from among all eligible entries received before we had to cancel, change or suspend the Prize Draw.

If you attempt to compromise the integrity or the legitimate operation of this Prize Draw by hacking or by cheating or committing fraud in ANY way, we may seek damages from you to the fullest extent permitted by law. Further, we may ban you from participating in any of our future Prize Draws, so please play fairly.

10. HOW CAN YOU FIND OUT WHO WON?

We will post the names of confirmed winners online after September 24, 2008, at www.xbox.com/winners. This list will remain posted until October 29, 2008.
